These Terms and Conditions set forth the legal and regulatory framework governing your use of the BEDEK app, its website, and related services, including browsing products, creating accounts, placing orders, making payments, and utilizing support, delivery, and related digital features. Please read this document carefully before using the app, creating an account, or placing any order.
Your use of the BEDEK app or website, the creation of an account, or the placement of any order constitutes your acknowledgment that you have read, understood, and agreed to be bound by these Terms and Conditions, You also agree to any supplementary policies, instructions, notices, or regulatory addenda issued by the Company from time to time that are relevant to the service.
For clarification purposes, the BEDEK app serves as the primary platform for users and customers to purchase goods and utilize services offered through the Company’s commercial ecosystem, while the Company may provide other apps, platforms, or operational interfaces related to the same activity, including, for example, the Bedek Seller app for business partners and stores, and the Bedek Delivery app for delivery services and drivers or representatives. Each of these applications or services, where applicable, has separate terms and conditions governing their scope of use and specific legal relationship, without this leading to confusion between the scope of this document and the scope of other documents.

1. Definitions and Terms
For the purposes of these Terms and Conditions, the following words and phrases shall have the meanings set forth opposite each, unless the context requires otherwise:
- The Future BEDEK for E-Commerce and Delivery Services Limited Liability Company, or any entity affiliated with it or officially authorized by it to manage the Platform or part of its services.
- التطبيق أو المنصة: تطبيق BEDEK وموقعه الإلكتروني وجميع واجهاته الرقمية وخدماته وخصائصه الإلكترونية المرتبطة به.
- المستخدم أو العميل أو أنت: أي شخص طبيعي أو اعتباري يستخدم التطبيق أو يتصفح المنصة أو ينشئ حساباً أو يقدم طلباً أو يستفيد من أي خدمة متاحة عبرها.
- المنتجات أو السلع أو البضائع: جميع السلع أو المنتجات أو الخدمات أو المواد المعروضة من خلال التطبيق سواء كانت مملوكة للشركة أو مقدمة بواسطة شركاء تجاريين.
- Any purchase order, reservation, or contract submitted by the user via the app to obtain a product or service offered on the platform.
- Any store, provider, supplier, or business entity that offers its products or services via the platform, including entities that may be subject to an independent operational relationship through Bedek Seller.
- Logistics services related to the receipt, transport, or delivery of orders, whether performed directly by the Company or through drivers, agents, or related operational parties, including those that may be subject to the Bedek Delivery app.
- The policy adopted by the Company to manage the collection, processing, use, retention, and disclosure of personal data.
- Any electronic balance, monetary value, points, or credits credited to the User within the Application, in accordance with the mechanisms adopted by the Company from time to time.
- The laws, regulations, rules, and decrees in force in the State of Libya, unless specifically stated otherwise in a separate document or special contract.
2. Scope of the Application
2.1 About the Application
Bedek is an e-commerce and digital ordering platform primarily intended for users and customers within the State of Libya, designed to enable them to browse, order, and purchase products and services and track their fulfillment through a unified digital experience. Arabic is the primary language used in the App, as well as in communications, notifications, and support, unless the Company decides to make other languages available for certain interfaces or services.
This platform may also be linked to other operational services or applications within the BEDEK commercial ecosystem; however, this linkage does not imply that the terms governing each service are consolidated into a single document. Accordingly, the customer’s use of the BEDEK app does not automatically grant them the status of a business partner in Bedek Seller or the status of a driver or representative in Bedek Delivery; furthermore, the use of either of the latter two apps is subject to separate and supplementary terms depending on the nature of the relationship and the service.
2.2 Geographic Restrictions
The app’s services are available within the State of Libya, and the Company may, at its operational discretion, determine the cities, regions, coverage areas, pickup points, operating hours, or types of services available in each area. Certain features may also be restricted or disabled, in whole or in part, for users outside the approved geographic scope or in areas where the service cannot be provided appropriately or safely.
2.3 Eligibility for Use
To use the Application and submit orders, the user must possess the legal capacity necessary to enter into contracts and assume obligations, be at least eighteen years of age, reside in Libya or have a valid delivery address within Libya, and have the legal and financial capacity to fulfill obligations arising from the use of the Application or from orders submitted. If the App is used on behalf of a legal entity, institution, or business, the user acknowledges that they are legally authorized to represent and bind that entity.
3. Terms of Use of the App
3.1 Registration and Account Creation
The use of certain App services may require the creation of a personal account by providing the Company with valid, accurate, up-to-date, and complete information, such as name, email address, mobile phone number, contact information or address, and any other data the Company deems necessary to provide the service, verify identity, or fulfill orders. The Company may employ additional verification methods, including verification messages, phone number confirmation, or any other appropriate technical means.
The user is obligated to maintain the confidentiality of their account login credentials, including the password and verification codes, and is responsible for all activities, orders, or actions carried out through their account unless they prove to the Company, in a manner acceptable to the Company, that there was unauthorized use not attributable to their negligence or failure.
3.2 Acceptable Use
The user agrees to use the app in a lawful, responsible, and appropriate manner consistent with its intended purpose, and shall refrain from any conduct that may compromise the security of the platform, the safety of its users, the interests of the company or its business partners, or the brand’s commercial reputation. This includes, but is not limited to, refraining from posting or transmitting any illegal, defamatory, abusive, obscene, racist, or fraudulent content, and not using the Application to harm others or to circumvent order, payment, offer, or technical support mechanisms.
The user also agrees not to enter false, plagiarized, or third-party data without proper authorization, and not to use automated or software means to interfere with the app’s operation, extract data from it, bypass security measures, or attempt unauthorized access to any part of the company’s systems.
3.3 Security and Account Protection
Although the Company takes reasonable technical and organizational security measures to protect accounts and data, the user is also obligated to take necessary precautions, including choosing a strong password, not sharing login credentials with any third party, logging out of shared devices, and immediately notifying the Company upon suspicion of any unauthorized activity or of a breach or loss of control of the account.
3.4 Prohibition of Use or Account Suspension
The Company reserves the right, at any time and in its reasonable discretion, to suspend, restrict, or terminate an account, reject any request, or deny access to the Application, if it determines that there has been a violation of these Terms or any applicable law, the provision of false or misleading information, misuse of the Service, or exposure of the Platform, users, or business partners to any technical, legal, or operational risk, or if required by compliance, safety, or rights protection requirements.
4. Ordering and Purchasing Process
4.1 Nature of the Supply and Demand and Terms of Sale
Products and services are presented on the App as an invitation from the Company or a business partner to the user to submit a purchase order or service request; the mere display, listing, or advertising of a product on the platform does not constitute final acceptance of the order. The contract relating to the order is only concluded upon its acceptance by us or by the relevant business partner, and upon the commencement of actual steps to execute, ship, or process it, depending on the nature of the service.
In cases where the platform displays products or services belonging to business partners, BEDEK’s role may be that of an intermediary, coordinator, commercial agent, or technical agent in facilitating the ordering, payment, communication, and fulfillment process, without this necessarily implying a transfer of ownership of the products to the company or its assumption of all material obligations, which remain, depending on the case, with the business partner regarding the product’s quality, legitimacy, or compliance with specifications.
Furthermore, certain commercial relationships with partners and stores may be subject to separate documents or operating terms within Bedek Seller; however, this does not alter the fact that the user’s consumer relationship when purchasing through BEDEK is governed by this document and the relevant supplementary policies.
4.2 Ordering process steps
The ordering process begins when the user selects the products or services they wish to purchase and adds them to the cart. The user then reviews the cart contents, quantities, prices, and estimated fees, and may modify items, remove some of them, or add a valid promo code if available.
The user then proceeds to the checkout stage, where they are prompted to log in, create an account, or continue as permitted by the system. They must then enter a delivery address, select a city, region, or nearest pickup location, or provide any other information necessary to fulfill the order correctly, with the option to choose from available delivery or pickup methods based on the region and service type.
In the final stage, the user reviews their order summary, including the products, price, delivery fees, payment method, and any relevant discounts or notes, and then confirms the order. Order confirmation constitutes the user’s acknowledgment of the accuracy of the entered data and their agreement to these Terms and Conditions.
4.3 Acceptance and Rejection of Orders
We may accept or reject an order, or request verification of certain details before accepting it, and we may cancel it in whole or in part if there is a valid reason to do so. This includes, but is not limited to, incomplete order details, failure to obtain payment authorization, a material error in price, description, or availability, suspected fraudulent behavior, the order’s violation of the law or approved policies, stock unavailability, or inability to fulfill the order for operational, logistical, security, or legal reasons.
In the event that an order is rejected or canceled after payment of the full amount or a portion thereof, the Company shall, depending on the payment method and the nature of the situation, refund the amount to the wallet or payment method, or provide a credit or alternative financial remedy in accordance with applicable regulations and procedures.
5. Prices and Payment
5.1 Pricing and Delivery Fees
Prices for products and services, delivery fees, and any additional charges are displayed on the app based on the information available at the time the order is placed or reviewed. Prices and fees may vary depending on the product type, city, service area, order value, time of fulfillment, current promotions, or selected delivery method. The Company may also offer free or discounted delivery services in certain cases, areas, or campaigns as indicated on the platform at the time of the order.
5.2 Price Adjustments
The Company and its business partners exercise reasonable care to ensure the accuracy of published prices and information; however, material, technical, or human errors may occur in the price, description, or fees. If a material error is discovered before the order is accepted or during its review, we reserve the right to notify the user of the correction and give them the opportunity to confirm the order or cancel it. If payment has already been made, the difference may be addressed by refunding the excess amount or canceling the order, as appropriate.
5.3 Offers and Discounts
Offers, discounts, promotional codes, and the terms for their use are subject to availability, the duration of the campaign, and any special requirements or restrictions announced by the Company, and may be modified, suspended, withdrawn, or replaced at any time unless a binding commitment has been made regarding them. The user may not circumvent the promotion systems or use more than one account or any unlawful means to obtain undue benefits; in such cases, the Company may cancel the promotion, suspend the account, or take any appropriate action.
5.4 Payment Methods
The Company may, as available on the Platform from time to time, accept payment via e-wallet, prepaid cards, online banking, cash on delivery, or any other method approved by the Platform. The Company is committed to taking reasonable measures to secure payment transactions; however, it shall not be responsible for any malfunction arising from third-party payment systems beyond its reasonable control.
5.5 Payment Terms and Confirmation
The fact that the amount has been debited, the wallet has been credited, or the financial transaction has been executed does not constitute final acceptance of the order; rather, the order remains subject to review and confirmation in accordance with these terms. The Company may reject or cancel the order and refund the amount or credit the balance if there is a valid reason to do so, including incomplete payment, verification failure, inability to fulfill the order, or suspicion of violation or fraud.
6. Delivery and Shipping
6.1 Delivery Times and Scheduling
The Company aims to execute and deliver orders within the estimated timeframe displayed on the app or notified to the user; however, all delivery dates remain estimates and are not absolutely guaranteed unless expressly stated otherwise. Delivery times may be affected by order volume, the nature of the products, the delivery location, and traffic, security, technical, weather, or operational conditions.
6.2 Product Availability
If a product is unavailable or cannot be supplied or prepared after an order is placed, we may notify the user and suggest an alternative if available or cancel the affected portion of the order or the entire order, as the situation requires, while processing any amounts paid in accordance with our established policy.
6.3 Multiple Deliveries
If an order includes more than one product, more than one business partner, or more than one fulfillment source, delivery may be made in separate batches or via more than one shipment or carrier, and the User agrees to this whenever it is operationally necessary.
6.4 Transfer of Ownership and Responsibility
Responsibility for the product passes to the User upon delivery to the User, to a person authorized by the User to receive it, or to the location or point where the User requests it be left in accordance with the User’s accepted instructions. Legal title passes in accordance with the nature of the product and the applicable contractual relationship, and upon completion of payment and delivery, where applicable.
6.5 Verification of Orders Upon Delivery
The user is obligated to inspect the order within a reasonable time of receipt and to notify the Company as soon as possible in the event of any apparent shortage, error in the product, quantity, or condition of the packaging, or any other visible defect that can be detected at the time of delivery. The Company may request photos, data, or supporting information to verify the report and take appropriate action.
6.6 Delivery Address and Delivery Methods
The user bears full responsibility for entering a correct, clear, and complete delivery address, and for providing an effective means of communication to confirm the location or coordinate with customer service or the delivery representative. The Company shall not be responsible for any delay or failure to fulfill the order resulting from inaccurate or incomplete information, or from the inability to contact the user or the user’s failure to respond in a timely manner.
6.7 Alternative Delivery Arrangements
Where necessary, and by agreement or in accordance with instructions provided by the user, alternative delivery arrangements may be adopted, such as delivery to an authorized person, to a collection point, or to a secure location designated by the user, subject to the nature of the product and service conditions. The risk of safekeeping, loss, or damage passes to the user from the time the accepted alternative arrangement is implemented.
6.8 Delay in Delivery
If delivery is delayed beyond a reasonable estimated timeframe, the Company will make reasonable efforts to contact the User to provide updates and status updates on the order. The Company shall not be liable for the delay if it arises from the User’s fault, causes beyond reasonable control, or exceptional operational or logistical circumstances. However, the Company may, at its discretion, offer commercial compensation, coupons, discounts, or alternative solutions to enhance the user experience, without this constituting a general, fixed obligation in all cases.
7. Return and Replacement Policy
7.1 The Right to Return and Exchange
The Company acknowledges the Customer’s right to request a return or exchange in cases permitted by law or allowed by the nature of the product and the policies adopted on the Platform, particularly if the product differs substantially from the description provided, is defective, is unfit for use by its nature, or was delivered in error. Certain products or categories remain subject to specific restrictions due to their nature, such as perishable goods, personal items, or products that show signs of use or have been opened in a manner that prevents their return in accordance with the policies specific to each category.
7.2 Conditions for Returns and Exchanges
For a return or exchange request to be accepted, unless the defect is hidden or relates to a fundamental lack of conformity, the product must be in its original condition to a reasonable extent, must not have been subjected to use, damage, or alteration that alters its nature upon delivery, and the request must be submitted within the period specified by the Company or required by law or the nature of the product. The Company or its business partner may request an inspection of the product before finalizing the procedure.
7.3 Procedures for Submitting a Return or Exchange Request
Return or exchange requests must be submitted through the channels approved by the Company, such as customer service, in-app support, official social media channels, email, or the designated contact number. The customer must provide the Company with basic information regarding the order, including the order number, a description of the product in question, the reason for the request, and any photos or information that may assist in verification and decision-making.
7.4 Cases of Full Refund
The full amount may be refunded to the user if it is proven that the delivered product differs substantially from the description provided, or if the order was canceled before acceptance or before processing or shipping began, or if the order could not be fulfilled due to reasons attributable to us, our business partner, or circumstances preventing contract fulfillment, all in accordance with the nature of the case and the applicable policies.
7.5 Responsibility for expectations of use
We are not responsible for any specific use or purpose the customer expects from the product unless such purpose is explicitly stated in the product description or confirmed through published specifications or an explicit warranty issued by the party responsible for the product.
7.6 Returning Products to Collection Points
In cases where we or our business partner allow products to be returned to specific collection points or centers, the customer must coordinate in advance, follow the approved instructions, and present proof of the order or purchase upon handover. The business partner’s acceptance or approval may be required in cases where the nature of the product or the reason for the return is directly related to the supplier or to the company’s own policies regarding that supplier.
7.7 Processing of Refunds
Refunds are processed within a reasonable timeframe depending on the payment method, the nature of the claim, and the inspection and verification procedures. Refunds may be credited to the wallet, the original payment method, or through any other financial mechanism adopted by the Company. Unless proven otherwise, the refund does not include any fees or costs already incurred due to a service rendered, a user error, or the nature of the service itself.
7.8 Returned Product Inspection
The Company and its business partner reserve the right to inspect any product the customer requests to return or exchange before making a final decision on its acceptance, in order to verify its condition and whether the return or exchange conditions apply to it.
7.9 Shipping Responsibility
If the customer is asked to return the product themselves or via a shipping or delivery service, they must follow the approved instructions and retain proof of shipment or delivery. The Company shall not be liable for the loss or damage of the product during return if it is carried out outside the channels or procedures specified by the Company, or if the shipment is undocumented or contrary to the instructions.
8. Responsibilities and Obligations
8.1 Responsibilities of the Company
8.1.1 Quality of Content and Information
The Company exercises reasonable care in developing and operating the Application, updating its content, and displaying products, services, and related data; however, it does not guarantee that all information is free from errors, omissions, or non-material discrepancies. The published information does not constitute legal, technical, or professional advice tailored to a specific situation. It is the user’s responsibility to verify the suitability of the products or services for their specific needs before completing the order.
8.1.2 Accuracy of Product Descriptions
The Company attempts to display product descriptions, images, and specifications as accurately as possible; however, some images may be for illustrative purposes, and colors, sizes, packaging details, or certain visible features may differ slightly without affecting the essence of the product, particularly when products are provided by business partners or external suppliers.
8.1.3 Service Availability
The Company cannot guarantee that the App or Website will remain available without interruption at all times, or that they will be completely free of errors, malfunctions, delays, or technical risks; however, it will use reasonable efforts to maintain service continuity, ensure the stability of its systems, and improve their performance.
8.2 The Company's Limitation of Responsibilities
8.2.1 General Exclusion of Responsibilities
Nothing in these Terms excludes or limits any responsibility that cannot be legally excluded or limited, including liability arising from fraud, gross negligence, or any rights granted to the consumer under applicable laws. Otherwise, the Company’s liability is limited to the extent permitted by law.
8.2.2 Unforeseeable Damages
You agree that the Company shall not be responsible for any indirect, consequential, special, or reasonably unforeseeable damages or losses, including loss of profits, opportunities, reputation, or use, arising out of the use of the App or Product, or the inability to use, delay, or interruption thereof.
8.2.3 Suitability of Products for Use
It is the user’s responsibility to verify the suitability of the product or service for the intended purpose, unless the Company or a business partner has provided an express and specific warranty regarding such purpose. The Company shall not be liable for misuse, improper use, or use contrary to the nature of the product or the associated instructions.
8.3 User Responsibilities
8.3.1 Accuracy of Information Provided
The user bears full responsibility for the accuracy of the data provided when creating an account, placing an order, making a payment, requesting support, or initiating a return, including identification, contact, address, and payment information, as well as any special instructions related to the service.
8.3.2 Responsible Use of the Application
The user agrees to use the application in good faith, lawful, and responsible manner, and not to take any action that harms the company, business partners, representatives, other customers, the application’s technical infrastructure, data security, or commercial trust in the platform.
8.3.3 Protection of Account Information
The User is responsible for safeguarding their account data, devices, and authentication methods, and is obligated to notify the Company immediately in the event of a lost phone or suspected unauthorized access to or misuse of the account.
8.4 Force Majeure and Exceptional Circumstances
The Company shall not be liable for any failure or delay in fulfilling its obligations if attributable to a cause beyond its reasonable control, including natural disasters, fires, floods, epidemics, wars, civil unrest, or acts of terrorism, power, communication, or internet outages, government decisions or regulatory restrictions, supply chain disruptions, strikes, or the unavailability of services provided by third parties. In such cases, the Company may suspend or modify the Service, extend deadlines, or cancel the order in whole or in part as circumstances require.
9. Intellectual Property Rights
9.1 Ownership of Content and Trademarks
All intellectual property rights relating to the Application and the Website and their contents, including text, designs, logos, trade names, graphics, images, software, databases, general layout, and visual elements, belong to the Company, its licensors, partners, or the relevant rights holders, and remain protected under applicable laws and regulations.
Intellectual property rights pertaining to products, brands, images, and content belonging to business partners remain the property of their respective owners, and their display on the App or the User’s use of the Service does not result in any transfer of ownership of such rights to the User.
9.2 Permitted Use
The user is permitted to use, browse, and access the content of the App to the extent necessary for personal and legitimate use related to shopping, placing orders, or utilizing the services, without this conferring any right to reproduce, publish, commercially exploit, copy, modify, or distribute the content beyond the expressly authorized limits.
9.3 Restrictions on Use
The User is prohibited from copying the content, extracting data, republishing it, creating derivative works from it, or using it for any commercial, advertising, or competitive purpose without the prior written consent of the Company or the relevant rights holder. Unauthorized linking to the Application or the exploitation of its trademarks, visual, or technical elements in a manner that suggests a relationship, endorsement, or partnership that does not exist is also prohibited.
9.4 Use of Uploaded Information
If the user, a business partner, or any other party uploads content, images, data, reviews, or other materials via the application, they acknowledge that they have the right to do so and grant the Company, to the extent necessary for the operation, marketing, and improvement of the service, a non-exclusive license to use, display, process, and publish such content in accordance with its policies and in a manner that does not violate the law.
9.5 Protection of Third-Party Rights
We respect the intellectual property rights of others and expect our users and partners to do the same. If any person believes that content published via the App infringes their rights, they may contact the Company and provide evidence of the claimed right, a description of the content in question, its location, and the necessary contact information; the Company may take such action as it deems appropriate, including review, removal, restriction, or suspension, as the case may be.
10. Data Protection and Privacy
10.1 Collection and Use of Data
The Company may collect personal, operational, and technical data related to the user and their use of the App, to the extent necessary to create accounts, fulfill orders, provide services, improve the user experience, provide support, ensure security, prevent fraud, and comply with legal and regulatory obligations. This processing is subject to the provisions of the Company’s Privacy Policy, which forms an integral part of these Terms.
10.2 Types of Data Collected
The data collected by the Company may include identification, contact, and address information; order history; usage data; preferences; reports; support requests; device and connection information; and any other data provided directly by the user or generated through the user’s legitimate use of the Platform.
10.3 Data Usage Purposes
The collected data is used for the purposes of operating the service, processing orders, communicating with the user, verifying accounts, improving the application’s performance, personalizing certain features or offers, managing complaints and refunds, detecting risks and fraud, and complying with legal and regulatory requirements.
10.4 Sharing Data with Third Parties
The Company may share data to the extent necessary with technical service providers, business partners, delivery providers, payment service providers, legal or regulatory authorities, to the extent required by the Service, mandated by law, or necessitated by a reasonable and legitimate interest to protect rights or fulfill obligations.
10.5 User Rights Regarding Their Data
In accordance with applicable laws and regulations, the user may request access to their data, or request its correction, updating, or objection to certain aspects of its processing, or request its deletion or restriction in cases permitted by applicable rules, through the channels approved by the Company.
10.6 Data Security
The Company implements technical and organizational measures to protect personal data from unauthorized access, unlawful use, loss, damage, or improper disclosure; however, it does not guarantee the absolute absence of technical or security risks in the digital environment.
10.7 Data Retention
The Company retains data for the period necessary to fulfill the purposes for which it was collected, to meet its legal obligations, or to manage disputes and rights, and then takes the necessary steps to delete, anonymize, or securely archive it as it deems appropriate and as permitted by law.
10.8 Cookies
The app or website may use cookies or similar technologies to improve performance and functionality, analyze usage, and personalize certain features. The user may control some of these settings through their browser or device, noting that disabling them may affect the efficiency of certain platform features.
10.9 Contacting Us Regarding Privacy
For more information regarding privacy practices or to exercise data-related rights, the user may refer to the approved Privacy Policy or contact the Company through the official channels listed in this document or in the App.
11. Promotions and Competitions
11.1 General Terms of Participation
Any promotions, competitions, or marketing campaigns launched by the Company are subject to specific terms announced at the launch of the campaign or upon participation, and such terms are considered an integral part of this document to the extent they relate to the campaign. The user’s participation in any promotion or contest constitutes their acceptance of its specific terms, including eligibility requirements, duration, prize, selection mechanism, disqualification, and redemption.
11.2 Use of Content Submitted by Participants
If a participant submits photos, videos, comments, or any other materials as part of a campaign or contest, they acknowledge that they have the right to submit them, and grants the Company a license to the extent necessary to display, use, or republish such content within the scope of the campaign or for promotional purposes related to the campaign or the Platform, without prejudice to any original rights the participant may retain in the content, where legally permissible.
11.3 Selection of Alternate Winners
If the winner cannot be contacted, fails to complete the requirements for claiming the prize within the specified period, or is found not to meet the conditions, the Company may disqualify them and select an alternate winner or take any other action provided for in the campaign terms.
11.4 Marketing and Promotional Communications
The Company may use the User’s contact information, to the extent permitted by law and in accordance with the User’s preferences and account settings, to send marketing notifications, offers, updates, or messages related to campaigns, business relationships, or service improvements.
11.5 Unsubscribing from Marketing Communications
The user may cancel their subscription to marketing messages at any time through account settings, links, or instructions provided for that purpose, but the Company reserves the right to send operational, legal, order-related, account-related, or security-related notifications.
11.6 Use of Winners’ Experiences in Advertising
The Company may, after obtaining the necessary consents where required, use the names, images, comments, or experiences of winners regarding the prize or service in promotional, marketing, or media materials related to the campaign or the platform, within the limits permitted by applicable laws and regulations.
12. Dispute Resolution
12.1 General Legal Framework
These Terms and Conditions shall be governed by and construed in accordance with the laws in force in the State of Libya, and the exclusive jurisdiction for any dispute arising out of this document, the use of the Application, or any related request or transaction shall lie with the competent Libyan courts.
12.2-Tiered Dispute Resolution Mechanism
The Company is committed to addressing disputes and complaints fairly, practically, and with as little complexity as possible. Therefore, before resorting to legal action, the User must first contact Customer Service, Technical Support, or the relevant channel to present the issue and enable the Company to review and resolve it. If a resolution cannot be reached at the initial stage, the matter may be escalated to internal review, and an amicable settlement, mediation, or any appropriate mechanism may be proposed before pursuing legal action, without prejudice to rights that cannot be waived by law.
12.3 Time Limits for Filing Complaints
The user must submit the complaint, report the defect, or file a claim related to the order within a reasonable period from the date of discovery of the incident, so that the company can verify and address the situation. The company may establish internal procedural deadlines for certain types of orders, categories, or services, provided that such deadlines do not violate the rights granted to the consumer by law.
12.4 Remedies and Compensation
If the Company’s liability is established in accordance with these Terms and applicable law, the remedy may, depending on the nature of the case, consist of rectifying the defect, re-performance, replacement, full or partial refund, or the granting of a credit or direct and reasonable compensation within the limits permitted by applicable regulations.
12.5 Limits of Liability in Disputes
To the extent not inconsistent with mandatory rules, the Company’s liability in any claim relating to a specific order or transaction shall be limited to the total value of such order or transaction or to the amount of foreseeable and reasonable direct damages, whichever is more appropriate to the nature of the case and to the extent permitted by law.
13. General Terms
13.1 Binding Nature of the Agreement
These Terms and Conditions constitute a binding agreement between the Company and the User regarding the use of the Application and related services. The User may not assign his or her rights or obligations arising therefrom to a third party without the Company’s prior written consent, while the Company may assign certain of its rights or obligations or delegate their performance to a third party, affiliate, or service provider, provided that this does not result in an unlawful infringement of the User’s fundamental rights.
13.2 Severability
If any provision of this document is held to be invalid or unenforceable by a competent judicial or regulatory authority, this shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect to the extent permitted by law.
13.3 No Waiver of Rights
The Company’s failure to exercise any right, power, or remedy available to it under these Terms in a particular instance shall not constitute a waiver of that right or any other rights, nor shall it preclude the Company from exercising such rights at any time thereafter as permitted by applicable laws and circumstances.
13.4 Modification of Terms and Conditions
The Company may modify, update or replace these Terms and Conditions from time to time in accordance with legal, regulatory, technical, commercial or operational requirements. Such amendments shall take effect from the date of their publication on the App or Website or from the date of notification to the User, where applicable. Orders placed and accepted prior to the amendment taking effect shall remain subject to the version in force at the time of their conclusion, unless otherwise provided by law or the nature of the circumstances.
13.5 Protection of Statutory Rights
No provision in this document is intended to exclude or restrict any right conferred on the user or consumer under applicable law which cannot be waived or limited. In the event of any conflict between any provision of these Terms and a mandatory provision of law, the legal provision shall prevail to the extent necessary and the remainder of the provision shall remain in force.
13.6 Entire Agreement
This document, together with the Privacy Policy and any specific policies, notices or terms referred to therein or adopted pursuant thereto, constitutes the entire agreement between the Company and the User in relation to its subject matter, and supersedes any prior understandings, correspondence or offers relating to the general use of the Application, unless there is a separate contract or agreement governing a different relationship within a separate scope.
13.7 Request for Assistance and Clarification
If the User requires clarification of any provision of this document or assistance regarding their account, requests, rights or obligations, they may contact the Company via the official support and customer service channels.
13.8 Commercial Use
The products and services offered via the BEDEK app are intended primarily for consumer or personal use unless otherwise stated or unless there is a separate contractual relationship with the relevant business partner or organisation. The platform may not be used as a means for organised resale, unauthorised commercial activity, or the purchase of large quantities for the purpose of redistribution without the Company’s consent.
13.9 Quantity and Value Limits
The Company reserves the right to impose maximum or regulatory limits on the quantity of products, the total value of orders, the number of transactions, or certain categories, whether for operational, security, or regulatory reasons, or to limit misuse, unusual orders, or bulk orders.
13.10 Nature of the Service as an Intermediary
Where the Platform displays products or services owned or provided by business partners, BEDEK may act as a technical, marketing or coordination interface, or as an authorised commercial intermediary to manage orders, payments, customer service and delivery. In such cases, the contract for the sale of the product or the provision of the service may be concluded between the user and the relevant business partner, with the Company’s role remaining within the limits stated on the Platform or required by the nature of the service. Furthermore, the detailed terms and conditions relating to the participation of shops and partners, or to the management of their packages or operational services, may be set out in separate documents, including the Bedek Seller documents, without this constituting an incorporation into this document.
Similarly, the execution of delivery operations or certain logistical aspects may be carried out by entities, individuals or operational systems subject to independent policies or terms, including those relating to the Bedek Delivery app, whilst the user’s consumer obligations in this document remain regulated by their specific scope without being conflated with the terms of service providers or operational partners.

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below:

“App” or “Platform”: refers to the mobile application and website of BEDEK INTERNATIONAL dedicated to e-commerce.
“User,” “Customer,” or “you”: refers to any individual or legal entity that uses the app or places orders through it.
“Products,” “Goods,” or “Merchandise”: Refers to all products and services offered for sale on the app.
“Order”: Refers to a purchase request for products submitted by the user through the app.
“Business Partner”: Refers to the suppliers and merchants with whom the company does business to provide products and services.
“Privacy Policy”: Refers to the company's approved personal data protection policy.
“Applicable Law”: Refers to Libyan law and the regulations and rules in force in the State of Libya.
2. Scope of the Application
2.1 About the App
The BEDEK INTERNATIONAL app is an e-commerce platform designed for consumers in Libya. All information on the app is in Arabic, and all communications will be in Arabic only.
The App has been designed to comply with Libyan law. You may encounter websites or online marketplaces on the App with which we do not normally engage; we cannot accept liability for any failure to comply with local advertising laws or other laws in relation to such websites or their content.
2.2 Geographic Limitations
Our services are available only in Libya. We may restrict access to certain parts of the website for users who have not registered with us or for users outside the specified geographic area.
2.3 Eligibility for Use
To use the app and place orders, you must:
- An adult under Libyan law (18 years of age or older).
- You must be a resident of Libya or have a valid shipping address in Libya.
- Legally capable of entering into binding contracts.
- You are not prohibited from using our services for any lawful reason.
3. Terms of Use of the App
3.1 Registration and Account Creation
To place orders using the App, you must create a personal account by providing the following information:
- A valid and active email address.
- A valid mobile phone number with an active WhatsApp account.

- Do not post or upload comments or images that are in any way defamatory, offensive, obscene, illegal, sexual or racist.

- Do not use any language that is abusive, aggressive, insulting, threatening, harassing or offensive to any other person, including but not limited to other users of the website or the app.
Obligations:
- Provide correct, accurate and truthful information without any falsification.
- Use your own identity at all times when using the website.
- Ensure that all information you provide is as accurate and up-to-date as possible.
- Do not use information belonging to any other person, unless you have their written permission to do so.
3.3 Security and Account Protection
We take advanced security measures to protect your accounts and information, but you must also:
- Use a strong and unique password.
- Never share your login details with anyone else.
- Notify us immediately if you suspect any unauthorised activity on your account.
- Log out of your account when using shared devices.

4. Ordering and Purchasing Process
4.1 Nature of the Offer and Demand
The app displays goods advertised for sale and provides information about them through the adverts on the app. We invite you to place an order with us for the products on sale.
When you place an order, we are not obliged to accept it. A contract between us and you will only be formed and completed once we have accepted the order and you have paid the advance payment.
4.2 Ordering Process
Step 1: Selecting Products
- You can select a product to purchase by clicking on the product you are interested in, then clicking ‘Add to Cart’.
- You can make a custom order directly from the custom orders section, where you must enter the details correctly and you are responsible for any errors in the information you enter.
- If you enter a product link and upload images for a different product, we will treat your order as two completely separate orders.
- In the case of entering a link without uploading an image, or uploading an image without providing a link, we will ask you to complete the remaining information before accepting your order.
Step 2: Review your shopping cart
- You can review the items you have added to your shopping cart.
- You can adjust the quantity of items you wish to order (which may be subject to a maximum limit from time to time).
- You can remove any unwanted items by clicking on ‘Remove’.
- View the total value of your cart.
Step 3: Proceed to checkout
Once you have finished shopping, you can proceed to checkout by clicking on ‘Select payment method’.
Step 4: Customer registration
You will then be asked if you are a guest or wish to register as a customer. You will be asked to provide your email address and a phone number linked to a WhatsApp account. We will then store this information for the purpose of processing your order, and you can continue directly the next time you visit the app. Existing customers will be asked for a password and email address to log in if they have not already done so.
Step 5: Order summary and payment details
You will then need to select a payment method and enter your payment details. Please check this information carefully. Your order summary page will then appear in the cart. this is the details of the items in your order. You must check the details carefully at this stage, as this is the final stage of the ordering process where you can correct any errors or change the items you wish to order. You can do this by returning to the home page and completing the process described above again. If you are satisfied with your order, click on ‘Submit Order and Pay’ .
Step 6: Order Confirmation
By clicking “Submit Order and Pay”, you confirm that you have read, understood and accepted these terms and conditions, and your order will be submitted to us at this stage.
Step 7: Order Confirmation
Once we have received confirmation that your payment method has been approved, a screen will appear thanking you for your order. You will be given an order reference, and an email will be sent to you confirming your order, which will detail the goods, price and any delivery charges. You can print a copy of the order confirmation and the email and keep them for your records.
Step 8: Complete your address and delivery details
You will be asked to enter your chosen delivery address, your city, or the nearest masjid or school to find the nearest collection point. You must provide us with the correct address details. We shall not be liable for any delay or failure in delivery resulting from your failure to provide accurate address details or to respond to mobile phone calls and/or emails or WhatsApp messages.
4.3 Acceptance and Rejection of Orders
We reserve the right to refuse to sell products to anyone, as well as to explicitly agree with you on any changes to the contract on your part.
We may also refuse or cancel your order and refund the points to your wallet if we decide it is reasonable to do so. Such circumstances may include:
- Ordering products that are prohibited under Law No. (5) of 2022 on fighting cybercrime.
- Ordering products that we do not supply, and which require special authorizations and legal licenses.
- Restrictions and laws in the country of origin preventing the shipment of this type of order and/or our suppliers’ refusal to ship such orders.
- Other circumstances, including but not limited to force majeure events.
- Our inability to receive the authorized payment or the payment process being incomplete.
- Our identification of an error in the product or pricing on the website.
- Your failure to meet any eligibility criteria for purchase that we may impose from time to time.
- Our suspicion that your order is linked to fraudulent activity.
- Your failure to provide all necessary details to enable us to fulfil the order.
- The merchandise is out of stock or has been sold out by our suppliers.
We may contact you by telephone, email or via support tickets to verify details before we can process and dispatch your order, or we may be unable to accept it. We may do so if your order is of a particularly high value, for example.
5. Prices and Payment
5.1 Pricing and Delivery Charges
Prices and delivery charges are displayed on the app when your order is accepted, and shipping charges are shown separately. All applicable international delivery charges are as stated on the app after your order has been assessed; the delivery charges for the order appear on the shopping basket page when you review the items you have selected after the order has been assessed.
Delivery charges within Libya may vary depending on the value of your order and your location; for example, if your order exceeds a certain value, we may offer free delivery. Alternatively, you can collect your order directly from one of our authorised collection points free of charge.
5.2 Price Adjustments
We take all reasonable care to ensure the accuracy of the prices of the items shown to you, but we may adjust prices at any time. If you notice a difference between the price at the time of placing and accepting your order and the price at the time your order is dispatched, you must notify our customer service team to determine whether you wish to proceed with your order.
If payment has been made for any reason, the amount will be refund to your credit account or applied as a discount on your next order (please ensure the discount is valid before it expires).
5.3 Offers and Discounts
Discounts and promotional offers on the website are subject to availability and may be changed or withdrawn at any time without notice. We are under no obligation to maintain offers or promotions for any period; they may be reintroduced with additional terms and conditions, which will be displayed on the website, or they may be cancelled entirely.

5.4.1 Prepayment (E-wallet or online banking)
If you choose to pay via an e-wallet or online banking, the order amount will be debited directly from your e-wallet or online banking account. Please note that paying directly via an e-wallet or online banking ensures that the order price remains unchanged regardless of fluctuations in the exchange rate of foreign currencies against the Libyan dinar.
5.4.2 Cash on Delivery
If you choose to pay on delivery, the order price will vary depending on the exchange rates of foreign currencies against the Libyan dinar, and will only be fixed once your order has been accepted and a deposit has been paid to confirm your order.
5.5 Payment and Confirmation Terms
Please note that payment for your order via the Wallet or electronic payment services (regardless of the content of any emails or WhatsApp messages we send to you) does not constitute acceptance of the order. We may also refuse or cancel your order and refund the points to your Wallet if we deem it reasonable to do so.
6. Delivery and Shipping
6.1 Delivery Times and Scheduling
We aim to deliver your order within the standard timeframe set out on our website. Please note that a ‘working day’ refers to any day of the week, excluding weekends and public holidays.
However, time is not of the essence for delivery or performance, and all delivery dates specified on our website and in any correspondence are estimates only. This means we will not be liable if the goods are delivered outside those times.
If we are unable to deliver the goods within the timeframe indicated, we will make reasonable efforts to inform you of this via email and/or a message via WhatsApp and provide you with a revised delivery estimate.
6.2 Product Availability
If the products you have ordered are out of stock, we will notify you via email and/or a message via WhatsApp.
6.3 Multiple Deliveries
If you have ordered more than one product, we do not guarantee that all goods will be delivered to you in a single delivery, and we reserve the right to deliver in multiple shipments.
6.4 Transfer of Ownership and Responsibility
Ownership of the goods will not pass to you until the order is delivered. The goods will be at your risk from the time of delivery, and you must therefore take reasonable care of them.
6.5 Checking for Missing Items on Delivery
If the goods or the quantity you have received are not as ordered due to an error on our part, you must notify us by telephone, email and/or WhatsApp message using the contact details provided on the website or mobile app as soon as possible after you have received the goods and become aware of the error.
We will rectify any error and send you the correct goods. However, we ask that you contact us in advance to arrange your return, and you must not use any goods received in error and must return them.
6.6 Delivery address and delivery methods
Goods will be delivered to the address you provide during the ordering process; however, delivery practices may vary depending on the carrier delivering the goods. You must provide a valid delivery address.
The delivery method we use may vary depending on the nature and quantity of the goods. We will select what we believe to be the most suitable delivery method for the goods. For further information regarding deliveries, please contact us.
6.7 Alternative delivery arrangements
We reserve the right to make alternative delivery arrangements, depending on the driver we use to deliver the goods. This may include leaving the goods with a neighbour or in a secure location in or around your home at your request, and additional charges may apply at our discretion.
6.8 Delays in Delivery
If the goods are not delivered on the expected date, you must notify us. Failure to deliver within 30 days of the order date for air freight orders and 6 months for sea freight orders shall be deemed a failure on our part.
We may offer the customer compensation for this delay, including vouchers and special discount offers, but we shall not be liable for delays in delivery if the fault lies with the customer or is due to force majeure.
7. Return and Replacement Policy
7.1 Right to Return and Replacement
Exchanges and returns are a guaranteed right for all our customers and apply to all products offered on our store (website and/or app). All products offered on our store are subject to the exchange and return policy in accordance with the terms and conditions set out on this page.
7.2 Return and Replacement Terms
A return or replacement request may be submitted provided the product is in the same condition as when purchased and is packaged in its original packaging only.
Timeframes:
- Replacement or return requests are processed within 3–7 working days.
- If the return or exchange request is approved, a courier will visit the customer within 3–5 working days to collect the item.
7.3 How to submit a return or exchange request

The full amount will be refunded to the customer if the product delivered is completely different from the product description on the product page on our website and/or app, or if the customer has submitted a cancellation request before we have accepted the order and commenced the shipping process, noting that this clause does not apply to customised international orders.
7.5 Responsibility for expectations of use
We are not responsible for any expectations regarding the use of products by the customer that we have not mentioned on the product page on our website.
7.6 Customised International Orders
In the case of on-demand or customized international orders, we do not accept exchanges or returns; the customer is responsible for providing us with the details relating to the customized order if they are incomplete or incorrect.
7.7 Returning Products to Collection Points
You may return goods that are unused and in new condition to any BEDEK collection point in Libya, provided you bring proof of order confirmation or delivery as evidence of purchase; the order number must be clearly visible to verify the order value.
7.8 Processing of Refunds
We will aim to process your refund or exchange the goods as quickly as possible, but we will do so within 30 (thirty) working days of you returning the goods to us or cancelling the order, in the case of payment by bank card or an electronic payment service.
If you paid in cash and chose to return the goods to a collection point, any refund or replacement may be processed at that time, with the exception of any refund for delivery and shipping charges, which will be processed separately.
7.9 Inspection of returned goods
We reserve the right to send any goods you claim are faulty to our inspection team before accepting your request.
7.10 responsibility for shipment
When returning goods to us, we ask that you return them either by hand delivery (please contact customer service) or via a courier service so that you have proof of dispatch. We shall not be held responsible for goods lost or damaged during shipment.

We shall not be liable to you for any loss or damage of a kind that we could not reasonably have foreseen and which arises from your misuse of the goods, or for any loss and/or damage resulting from the goods being damaged after delivery to you, or from wear and tear, breakage or otherwise.
8.2.3 Suitability of products for use
Many of the products we offer for sale may not be suitable for the activity for which they were purchased or for other activities; therefore, you must ensure that the products are suitable for the type of activity for which you wish to use them before completing your order.

- 30 days from the date of the transaction for matters relating to invoicing or payment.

تمثل هذه الشروط والأحكام الاتفاقية القانونية بين شركة المستقبل بيدك للتجارة الألكترونية وخدمات التوصيل ذ.ذ.م ("الشركة" أو "نحن") وبين الشركاء التجاريين والمتاجر ("المتجر" أو "أنتم") الراغبين في عرض وبيع منتجاتهم عبر منصاتنا الإلكترونية.
يُعد تسجيلكم في التطبيق كمتجر أو استخدامكم لخدماتنا موافقة صريحة ونهائية على جميع الشروط والأحكام الواردة أدناه. يرجى قراءتها بعناية.
1. التعاريف والمصطلحات
•التطبيق/المنصة: تطبيق "Bedek Seller" الإلكتروني بجميع نسخه وإصداراته والموقع الإلكتروني التابع له.
•المنتجات: جميع السلع والبضائع التي يقدمها المتجر للبيع عبر التطبيق.
•الزبون: أي شخص طبيعي أو معنوي يقوم بشراء المنتجات عبر التطبيق.
•المبيعات: جميع عمليات البيع التي تتم للمنتجات عبر التطبيق.
•الباقة: خطة الاشتراك التي يختارها المتجر والتي تحدد نسبة العمولة والخدمات الإضافية المقدمة.
2. نطاق العمل والمنتجات
1.تتيح الشركة للمتجر عرض وبيع منتجاته عبر التطبيق وفقاً للباقة المختارة.
2.يلتزم المتجر بتزويد الشركة بقائمة مفصلة وشاملة بالمنتجات التي يرغب في عرضها، بما في ذلك الوصف الدقيق، الصور عالية الجودة، الأسعار، والكميات المتاحة.
3.تحتفظ الشركة بالحق المطلق في مراجعة المنتجات والموافقة عليها أو رفض أي منتج لا يتوافق مع سياسات التطبيق أو معايير الجودة.
4.يُحظر تماماً عرض أي منتجات مزيفة، تالفة، منتهية الصلاحية، أو أي منتجات تخالف القوانين والتشريعات الليبية أو تتعارض مع القيم والأخلاق العامة.
5.يلتزم المتجر بتحديث قائمة المنتجات والأسعار والكميات المتاحة بشكل دوري ومستمر.
3. التزامات الشركة
1.توفير المنصة: توفير منصة إلكترونية آمنة وموثوقة لعرض المنتجات.
2.التسويق: تسويق التطبيق والمنتجات المعروضة عليه لزيادة المبيعات.
3.الخدمات اللوجستية: تجهيز وتغليف المنتجات بشكل آمن ومناسب للشحن (وفقاً لآلية العمل المتفق عليها).
4.الدفع الآمن: توفير نظام دفع إلكتروني آمن وموثوق.
5.خدمة الزبائن: توفير خدمة عملاء متخصصة للرد على استفسارات وشكاوى الزبائن (وفقاً لآلية العمل المتفق عليها).
6.الخدمات الإضافية: تقديم الخدمات الإضافية (مثل التصوير، الأجهزة اللوحية، الموظف المخصص) بناءً على نوع الباقة التي اشترك بها المتجر ووفقاً للعقد الموقع معه.
4. التزامات المتجر
1.دقة المعلومات: توفير معلومات دقيقة وصحيحة وكاملة عن المنتجات والأسعار، وعدم تضليل الزبائن بأي شكل من الأشكال.
2.جودة المنتجات: تحمل المسؤولية الكاملة عن جودة المنتجات وصلاحيتها ومطابقتها للمواصفات المعروضة.
3.سرعة التجهيز: تجهيز المنتجات وإعدادها للتسليم في الوقت المحدد (خلال 24 ساعة من استلام الطلب كحد أقصى).
4.التعامل الاحترافي: الرد على استفسارات الزبائن (إن وجدت عبر المنصة) والتعامل معهم باحترافية واحترام.
5.سياسة الإرجاع: الالتزام بسياسة الإرجاع والاستبدال الخاصة بالتطبيق، وقبول إرجاع المنتجات المعيبة أو غير المطابقة للمواصفات.
6.الامتثال القانوني: الامتثال التام لجميع القوانين والتشريعات الليبية المتعلقة بالنشاط التجاري وحماية المستهلك.
7.العهدة (إن وجدت): الحفاظ على أي أجهزة أو معدات توفرها الشركة للمتجر كعهدة، وتحمل تكلفة إصلاحها أو استبدالها في حال التلف أو الفقدان.
5. الأمور المالية والعمولات
1.تستحق الشركة عمولة عن كل عملية بيع تتم عبر التطبيق. تتحدد نسبة العمولة بناءً على الباقة التي اختارها المتجر وتم توقيع العقد بناءً عليها.
2.يتم احتساب العمولة على السعر الإجمالي للمنتج كما يظهر للزبون على التطبيق.
3.تقوم الشركة بتحويل مستحقات المتجر (بعد خصم العمولة وأي رسوم أخرى متفق عليها) بشكل دوري (أسبوعياً أو وفقاً لما ينص عليه العقد الخاص بالمتجر).
4.يتحمل المتجر أي رسوم بنكية أو ضرائب قد تفرض على التحويلات المالية الخاصة به.
6. الملكية الفكرية
1.يقر المتجر بأنه يمتلك كافة حقوق الملكية (أو التراخيص اللازمة) للمنتجات والعلامات التجارية التي يعرضها.
2.يمنح المتجر الشركة ترخيصاً غير حصري لاستخدام العلامات التجارية، الشعارات، الصور، ووصف المنتجات لأغراض التسويق والبيع عبر التطبيق.
3.تحتفظ الشركة بجميع حقوق الملكية الفكرية الخاصة بالتطبيق، تصميمه، برمجياته، والعلامات التجارية الخاصة بـ "Bedek Seller".
7. المسؤولية والضمان
1.المتجر هو المسؤول الأول والأخير عن جودة وسلامة المنتجات التي يبيعها.
2.لا تتحمل الشركة أي مسؤولية عن أي عيوب في المنتجات أو أي أضرار قد تلحق بالزبون نتيجة استخدامها.
3.يلتزم المتجر بتعويض الشركة عن أي خسائر، أضرار، أو مطالبات قانونية قد تنشأ بسبب عيوب في منتجاته أو مخالفته لهذه الشروط والأحكام أو للقوانين المعمول بها.
8. السرية وحماية البيانات
1.يلتزم المتجر بالحفاظ على سرية جميع المعلومات والبيانات التي يحصل عليها من الشركة أو من الزبائن عبر التطبيق (مثل بيانات الطلبات، معلومات الزبائن، الإحصائيات).
2.يُمنع منعاً باتاً استخدام بيانات الزبائن لأي أغراض خارج نطاق تنفيذ الطلبات عبر التطبيق.
3.تلتزم الشركة بحماية بيانات المتجر وفقاً لقانون المعاملات الإلكترونية الليبي والتشريعات ذات الصلة.
9. التعديل والإنهاء
1.تحتفظ الشركة بالحق في تعديل هذه الشروط والأحكام في أي وقت. سيتم إشعار المتاجر بأي تعديلات جوهرية، ويُعد استمرار استخدام المنصة بعد التعديل موافقة عليه.
2.يحق للشركة إيقاف حساب المتجر أو إنهاء التعاقد معه فوراً في حال إخلاله بأي من هذه الشروط، أو تكرار شكاوى الزبائن، أو عرض منتجات مخالفة.
3.في حال إنهاء الحساب، تلتزم الشركة بتسوية المستحقات المالية للمتجر عن الطلبات المكتملة بنجاح قبل تاريخ الإنهاء.
10. حل النزاعات والقانون الواجب التطبيق
1.تخضع هذه الشروط والأحكام وتُفسر وفقاً للقوانين المعمول بها في دولة ليبيا.
2.في حال نشوء أي نزاع يتعلق بهذه الشروط أو باستخدام المنصة، يتم السعي لحله ودياً أولاً. وفي حال تعذر ذلك، يكون الاختصاص الحصري لمحاكم مدينة طرابلس.

الجهة المشغلة: شركة المستقبل بيدك ذ.م.م، أو أي كيان تابع لها أو مفوض منها رسميًا بإدارة التطبيق أو خدماته.
تنظم هذه الشروط والأحكام استخدام تطبيق Bedek Delivery وكافة الخدمات والوظائف والمزايا التي يتيحها التطبيق أو أي موقع أو واجهة إلكترونية مرتبطة به. ويشمل ذلك، عند الاقتضاء، استخدام التطبيق من قبل العملاء، والسائقين، والمندوبين، وأي مستخدم آخر تسمح له المنصة بالوصول إلى الخدمة أو الاستفادة منها.
باستخدام التطبيق، أو إنشاء حساب، أو تقديم طلب، أو قبول مهمة توصيل، أو الاستمرار في استخدام أي من خدمات المنصة، يقر المستخدم بأنه قرأ هذه الشروط والأحكام وفهمها ووافق على الالتزام بها، كما يوافق على أي سياسات أو تعليمات أو لوائح تشغيلية أو إشعارات مكملة تصدرها الجهة المشغلة من وقت إلى آخر.
وتوضع هذه الشروط والأحكام لتشكيل الإطار النظامي العام لاستخدام التطبيق.
1. التعريفات
لأغراض هذه الوثيقة، يكون للكلمات والعبارات التالية المعاني المبينة قرين كل منها، ما لم يقتض السياق خلاف ذلك:
- منصة Bedek Delivery بجميع واجهاتها الرقمية، بما في ذلك تطبيقات الهاتف والموقع الإلكتروني والخدمات المرتبطة بها
- الجهة المشغلة: شركة المستقبل بيدك ذ.م.م أو من تفوضه رسميًا بإدارة التطبيق أو بعض خدماته.
- المستخدم: كل شخص طبيعي أو اعتباري يستخدم التطبيق بأي صفة كانت.
- العميل: المستخدم الذي يطلب خدمة توصيل أو يستفيد منها بصفته طالب الخدمة.
- المستخدم المعتمد أو المقبول من الجهة المشغلة لتنفيذ عمليات التوصيل عبر التطبيق
- أي عملية إنشاء أو تأكيد لخدمة توصيل أو نقل أو استلام أو تسليم تتم عبر التطبيق
- أي مبالغ مستحقة نتيجة استخدام الخدمة، بما في ذلك رسوم التوصيل أو الرسوم الإدارية أو الاستقطاعات أو أي مبالغ أخرى يعلن عنها التطبيق
- الرصيد التشغيلي أو التحفيزي الذي قد يُمنح للسائق وفقًا لسياسات الأداء الداخلية
- التصنيف التشغيلي الداخلي المخصص للسائقين بحسب الأداء والانضباط والالتزام
- جميع النصوص والشعارات والعلامات التجارية والتصميمات والبيانات والبرمجيات والمواد الأخرى داخل التطبيق
2. القبول بالشروط والأهلية القانونية
يشترط لاستخدام التطبيق أن يكون المستخدم متمتعًا بالأهلية القانونية اللازمة لإبرام الالتزامات والوفاء بها وفق الأنظمة المعمول بها في نطاقه الجغرافي. وإذا كان المستخدم يسجل أو يستخدم التطبيق نيابة عن جهة اعتبارية، فإنه يقر ويضمن أنه يملك الصلاحية القانونية اللازمة لإلزام تلك الجهة بهذه الشروط والأحكام.
كما يلتزم المستخدم بأن جميع البيانات التي يقدمها صحيحة، ودقيقة، وحديثة، وكاملة، وأن يقوم بتحديثها كلما اقتضت الحاجة ذلك. ويجوز للجهة المشغلة رفض تسجيل أي مستخدم، أو تعليق حسابه، أو إنهاء استخدامه للتطبيق إذا تبين أن البيانات المقدمة غير صحيحة أو مضللة أو ناقصة بصورة جوهرية.
3. إنشاء الحساب واستخدامه
قد يتطلب استخدام بعض خدمات التطبيق إنشاء حساب شخصي أو حساب مهني بحسب نوع الاستخدام. ويلتزم المستخدم بالمحافظة على سرية معلومات الدخول الخاصة به، بما في ذلك اسم المستخدم وكلمة المرور ورمز التحقق وأي وسيلة حماية أخرى تعتمدها المنصة.
ويتحمل المستخدم كامل المسؤولية عن جميع الأنشطة التي تتم عبر حسابه. كما يلتزم بإبلاغ الجهة المشغلة فورًا عند الاشتباه في أي استخدام غير مصرح به لحسابه أو أي خرق أمني قد يؤثر على سلامة بياناته أو حسابه أو استخدامه للتطبيق.
ويجوز للجهة المشغلة فرض متطلبات تحقق إضافية، أو تعليق الحساب مؤقتًا، أو طلب مستندات ثبوتية، أو إعادة التحقق من الهوية أو البيانات في أي وقت كلما كان ذلك ضروريًا لأسباب تشغيلية أو أمنية أو تنظيمية.
4. طبيعة الخدمة وحدود دور التطبيق
يوفر تطبيق Bedek Delivery منصة تقنية وتشغيلية لتنظيم خدمات التوصيل وما يتصل بها من عمليات طلب، وتخصيص، واستلام، وتسليم، ومتابعة، وتواصل تشغيلي، ومدفوعات، وتقييم أداء، وإدارة حسابات المستخدمين.
ويجوز للجهة المشغلة أن تؤدي الخدمة مباشرة، أو من خلال سائقين أو مندوبي توصيل أو متعاقدين أو جهات شريكة أو كيانات مساعدة وفق النموذج التشغيلي المعتمد لديها. كما يجوز لها تعديل طريقة تقديم الخدمة أو نطاقها أو توقيتها أو تغطيتها الجغرافية أو وسائل تنفيذها وفق ما تراه مناسبًا لأغراض التشغيل والتطوير والامتثال.
ولا يترتب على إتاحة التطبيق التزام مطلق من الجهة المشغلة بقبول كل طلب أو تنفيذه أو تخصيص سائق له، إذ تظل جميع الطلبات خاضعة للتوافر التشغيلي، والتغطية، والقدرة الفنية، وسياسات السلامة، ومعايير الامتثال، وظروف الطريق، وأي اعتبارات أخرى تراها الجهة المشغلة ذات صلة.
5. الطلبات والتوصيل والتنفيذ
وعند قبول الطلب، تبذل الجهة المشغلة والسائق جهدًا معقولًا لتنفيذه ضمن الإطار الزمني المتوقع، إلا أن أوقات التسليم تظل تقديرية بطبيعتها، وقد تتأثر بالزحام، والأحوال الجوية، وتعذر الوصول، وتأخر الاستلام، والظروف الأمنية، والأعطال، وأي عوامل خارجة عن السيطرة المعقولة.
ويجوز للجهة المشغلة رفض أي طلب، أو عدم إتمامه، أو تعليقه، أو إلغاؤه إذا كان متضمنًا معلومات غير صحيحة، أو مخالفًا للأنظمة، أو خارج نطاق التغطية، أو يثير مخاطر تشغيلية أو أمنية أو قانونية، أو يتعارض مع سياسات المنصة.
6. الرسوم والمدفوعات والاستقطاعات
يجوز للجهة المشغلة تطبيق نسب استقطاع من عوائد التوصيل أو العمولات أو الرسوم التشغيلية بحسب النموذج المالي المعتمد لديها، وبحسب مستوى السائق وأدائه والتزامه، ووفق السياسة الداخلية التي تعلنها أو تعتمدها الشركة من وقت إلى آخر.
كما يجوز للجهة المشغلة إجراء التسويات المالية، أو حجز مبالغ، أو تأجيل صرف مستحقات، أو إجراء مقاصة، أو اقتطاع مبالغ مستحقة في حال وجود نزاع، أو إلغاء، أو رد مبلغ، أو مخالفة، أو ضرر، أو تعويض، أو استحقاق مالي مشروع متعلق باستخدام التطبيق أو تنفيذ الطلبات.
وفي حال تسلم السائق أو المندوب أي مبالغ مالية من العملاء لحساب الجهة المشغلة، فإنه يلتزم بردها أو تسويتها وتسليمها إلى الشركة خلال المدة أو الآلية المحددة من قبلها. ويعد الامتناع عن رد هذه المبالغ، أو التأخر غير المبرر في تسليمها، أو التصرف فيها على خلاف الأمانة أو التعليمات، مخالفة جسيمة تخول الجهة المشغلة اتخاذ جميع الإجراءات النظامية والقانونية اللازمة بحقه. وفي هذه الحالة، يتحمل السائق كامل المسؤولية القانونية والمالية المترتبة على فعله، بما في ذلك أصل المبلغ محل المطالبة، وأي أضرار أو خسائر مترتبة، وذلك كله دون إخلال بأي حق آخر للجهة المشغلة في الرجوع عليه أو مطالبته بالتعويض أو اتخاذ ما يلزم من إجراءات قضائية أو جزائية وفق الأنظمة المعمول بها.
7. التزامات المستخدمين بصفة عامة
يلتزم كل مستخدم باستخدام التطبيق بحسن نية، وبصورة نظامية، وبما لا يضر بالجهة المشغلة أو بالمستخدمين الآخرين أو بالشركاء أو بالسائقين أو بسمعة المنصة أو بسلامة عملياتها. كما يلتزم بعدم إساءة استخدام التطبيق، أو التحايل على أنظمته، أو تقديم بيانات مضللة، أو استخدامه في أي نشاط غير مشروع أو مسيء أو احتيالي أو ينطوي على تهديد أو مضايقة أو تشهير أو إضرار بالغير.
ويحظر على المستخدم نسخ التطبيق أو تفكيكه أو إعادة بيعه أو تأجيره أو استغلاله استغلالًا غير مصرح به، كما يحظر عليه محاولة الوصول غير المصرح به إلى الأنظمة أو البيانات أو الحسابات أو واجهات التشغيل أو أي جزء من البنية التقنية الخاصة بالتطبيق.
8. التزامات السائقين والمندوبين
يلتزم السائق أو المندوب المعتمد باستخدام التطبيق لأغراض تنفيذ الطلبات بصورة مهنية ومنضبطة، وبالالتزام بكافة التعليمات التشغيلية الصادرة عن الجهة المشغلة، وبالتحقق من الطلبية أو الطرد أو العناصر المسلمة إليه قبل مغادرة نقطة الاستلام، وببذل عناية مهنية معقولة في حفظها وتسليمها إلى الجهة الصحيحة أو الشخص المخول بالاستلام.
كما يلتزم السائق بالقيادة أو التنقل وفق الأنظمة والقوانين المعمول بها، والامتناع عن أي سلوك متهور أو عدواني أو غير مهني، وعدم افتعال المشكلات أو الدخول في نزاعات غير مبررة أثناء تنفيذ الطلبات، وعدم استخدام التطبيق أو تنفيذ المهام بطريقة تضر بسلامة الأشخاص أو الممتلكات أو بسمعة التطبيق أو الجهة المشغلة.
ويجوز للجهة المشغلة أن تفرض على السائق متطلبات إضافية، بما في ذلك التحقق من الهوية، أو المستندات، أو الرخص، أو صلاحية المركبة، أو التأمين، أو أي شروط تشغيلية أو نظامية تراها لازمة لاعتماده أو لاستمراره في تنفيذ الطلبات عبر التطبيق.
9. النظام التشغيلي الداخلي للسائقين
يعتمد التطبيق، بالنسبة للسائقين، على نظام تشغيلي داخلي للمستويات والنقاط يهدف إلى قياس الأداء والانضباط وتحسين جودة الخدمة وتوزيع بعض المزايا والفرص التشغيلية وفقًا لمستوى الالتزام الفعلي لكل سائق.
ويبدأ السائق، بحسب النموذج التشغيلي المعتمد حاليًا، من المستوى صفر، ثم قد يرتقي أو يهبط وفقًا للنقاط التي يجمعها أو يفقدها نتيجة أدائه الفعلي في تنفيذ الطلبات، ومدى التزامه بالوقت، ودقة التسليم، وحسن السلوك المهني، والالتزام بالتعليمات والأنظمة.
وقد يحصل السائق على نقاط عند إتمام عمليات توصيل ناجحة دون مشاكل، وقد يحصل على نقاط إضافية في حالات الإنجاز المتميز أو السريع وفق المعايير التي تعتمدها الجهة المشغلة. كما قد يخسر نقاطًا عند التأخر غير المبرر أو عند وقوع مخالفات تشغيلية أو سلوكية أو إجرائية. أما في الحالات التي تقبل فيها الجهة المشغلة وجود عذر معتبر أو سبب مشروع، فقد لا يترتب على السائق كسب نقاط أو خسارتها بالنسبة إلى الحالة محل النظر.
ويجوز أن يترتب على تغير مستوى السائق آثار تشغيلية ومالية، بما في ذلك اختلاف نسب الاستقطاع من أرباحه، أو اختلاف أولوية أو حجم الطلبات المسندة إليه، أو تمتعه بمزايا معينة أو حرمانه منها، أو فرض متطلبات تصحيحية إضافية عليه وفقًا للسياسة المعتمدة.
10. العقوبات والإجراءات التصحيحية
يقر المستخدم، وبوجه خاص السائق، بأن الجهة المشغلة تملك حق اتخاذ الإجراءات المناسبة عند وقوع أي مخالفة أو تقصير أو إساءة استخدام أو سلوك يهدد جودة الخدمة أو سلامة التشغيل أو سمعة التطبيق أو حقوق المستخدمين الآخرين. وقد تشمل هذه الإجراءات، بحسب الحالة، التنبيه، أو الإنذار، أو الخصم التشغيلي، أو خصم النقاط، أو خفض المستوى، أو تقليل عدد الطلبات المسندة، أو التقييد المؤقت لبعض المزايا، أو التعليق المؤقت للحساب، أو الإيقاف النهائي.
ومع ذلك، يقر المستخدم بأن النظام التشغيلي الخاص بالعقوبات ما يزال في بعض أجزائه قيد الاستكمال والتطوير، وأن تفاصيل العقوبات، وجداولها، وتصنيف المخالفات، وآثار كل مخالفة أو خطأ على حدة، قد لا تكون معتمدة نهائيًا أو منشورة بالكامل في الوقت الحالي. ولهذا تحتفظ الجهة المشغلة بحق اعتماد أو تعديل أو استكمال هذه التفاصيل لاحقًا وفق ما تراه مناسبًا لحماية التشغيل والخدمة والمنصة والمستخدمين.
ولا يترتب على عدم تحديد عقوبة مفصلة لكل خطأ في هذه المرحلة سقوط حق الجهة المشغلة في اتخاذ ما يلزم من تدابير تنظيمية أو تشغيلية أو إدارية متناسبة مع الواقعة محل المخالفة، بشرط مراعاة مبدأ التناسب وطبيعة الحالة وخطورتها وتكرارها وما يحيط بها من ظروف.
11. الحسابات المخالفة والحق في التقييد أو الإيقاف
يجوز للجهة المشغلة، دون مسؤولية عليها، أن ترفض أي حساب، أو تحد من بعض صلاحياته، أو تعلّقه، أو توقفه مؤقتًا أو نهائيًا، إذا تبين لها وجود اشتباه معقول في إساءة الاستخدام، أو احتيال، أو انتحال، أو تهديد أمني، أو مخالفة للشروط والأحكام، أو تعريض لسلامة الخدمة، أو الإضرار بالغير، أو الإضرار بسمعة التطبيق، أو عدم استيفاء المتطلبات النظامية أو التشغيلية اللازمة.
كما يجوز للجهة المشغلة الاحتفاظ بالسجلات والبيانات والمستندات ذات الصلة، واتخاذ ما يلزم من إجراءات للتحقق أو المراجعة أو التعاون مع الجهات المختصة متى كان ذلك مطلوبًا أو مشروعًا.
12. المحتوى والملكية الفكرية
تعود جميع الحقوق المتعلقة بالتطبيق ومحتواه وعلاماته وشعاراته وتصميماته وواجهاته وقواعد بياناته وأنظمته وموادّه البرمجية والمرئية والكتابية إلى الجهة المشغلة أو إلى المرخصين لها، وتكون محمية بموجب قوانين الملكية الفكرية والأنظمة ذات الصلة.
ولا يجوز لأي مستخدم نسخ أي جزء من التطبيق أو إعادة إنتاجه أو تعديله أو نشره أو استغلاله تجاريًا أو إنشاء أعمال مشتقة منه أو استخدام العلامات أو الهوية أو المحتوى الخاص به دون موافقة خطية مسبقة من الجهة المشغلة.
13. الخصوصية ومعالجة البيانات
يوافق المستخدم على قيام الجهة المشغلة بجمع واستخدام ومعالجة وتخزين البيانات والمعلومات المرتبطة باستخدام التطبيق، بما في ذلك البيانات الشخصية، وبيانات الموقع، وبيانات الجهاز، وبيانات الطلبات، وبيانات التواصل، وبيانات الأداء التشغيلي، وذلك بالقدر اللازم لتقديم الخدمة، وتحسينها، وإدارة الحسابات، والامتثال للأنظمة، وحماية الحقوق، ومنع الاحتيال، وتعزيز السلامة والأمن التشغيلي.
وتخضع معالجة البيانات لسياسة الخصوصية المعتمدة من الجهة المشغلة، والتي تعد جزءًا مكملًا لهذه الشروط والأحكام، ويوافق المستخدم على تلك السياسة بمجرد استخدام التطبيق أو التسجيل فيه.
14. الإشعارات والاتصالات
يوافق المستخدم على أن تكون الإشعارات والاتصالات المتعلقة بالحساب أو الطلبات أو التحديثات أو الإجراءات التشغيلية أو التعديلات على الشروط أو السياسات عبر التطبيق أو الرسائل النصية أو البريد الإلكتروني أو أي وسيلة تواصل إلكترونية يعتمدها التطبيق، وأن تكون هذه الإشعارات منتجة لآثارها من تاريخ إرسالها أو إتاحتها داخل التطبيق بحسب طبيعتها.
15. حدود المسؤولية
تقدم خدمات التطبيق على أساس التوافر التشغيلي والإمكان المعقول، وتبذل الجهة المشغلة جهدًا مهنيًا معقولًا لضمان حسن الأداء والاستمرارية، إلا أنها لا تضمن خلو التطبيق من الانقطاعات أو الأخطاء أو التأخير أو الأعطال الفنية أو الظروف التشغيلية الطارئة.
وفي جميع الأحوال، لا تكون الجهة المشغلة مسؤولة، إلى الحد الذي تجيزه الأنظمة المعمول بها، عن أي خسائر غير مباشرة أو تبعية أو عرضية أو خاصة أو فقد أرباح أو فقد بيانات أو أضرار ناتجة عن انقطاع الخدمة أو التأخير أو سوء استخدام التطبيق أو إدخال بيانات خاطئة أو ظروف خارجة عن الإرادة المعقولة أو سلوك مستخدم آخر أو قوة قاهرة أو حدث طارئ أو خلل لا يمكن توقعه أو منعه بصورة معقولة.
كما لا تتحمل الجهة المشغلة مسؤولية أي ضرر أو تأخير أو إخفاق ناشئ عن معلومات غير صحيحة قدمها المستخدم، أو عن امتناعه عن التعاون، أو عن مخالفة الأنظمة أو التعليمات، أو عن استخدام الخدمة في غير الغرض المخصص لها.
16. التعويض:
يوافق المستخدم على تعويض الجهة المشغلة والشركات التابعة لها ومديريها وموظفيها ووكلائها وممثليها وشركائها ومورديها عن أي مطالبات أو خسائر أو أضرار أو تكاليف أو مسؤوليات أو رسوم أو مصروفات، بما في ذلك المصروفات القانونية المعقولة، تنشأ بسبب استخدامه غير المشروع للتطبيق، أو مخالفته لهذه الشروط، أو تعديه على حقوق الغير، أو تقديمه بيانات مضللة، أو ارتكابه سلوكًا يسبب ضررًا للمنصة أو للمستخدمين أو للشركاء أو للغير.
17. التعديل على الشروط والأحكام والسياسات
تحتفظ الجهة المشغلة بحق تعديل هذه الشروط والأحكام أو أي من السياسات أو التعليمات أو الجداول أو المعايير أو النماذج التشغيلية المرتبطة بالتطبيق في أي وقت، متى رأت أن ذلك ضروري لتطوير الخدمة أو تحسينها أو تنظيمها أو مواءمتها مع المتطلبات النظامية أو التشغيلية.
ويعد استمرار المستخدم في استخدام التطبيق بعد نشر التعديلات أو إبلاغه بها، بحسب ما تراه الجهة المشغلة مناسبًا، موافقة منه على تلك التعديلات. وإذا لم يوافق المستخدم على أي تعديل، فعليه التوقف عن استخدام التطبيق وإغلاق حسابه أو طلب إنهائه وفق الإجراءات المتاحة.
18. القوة القاهرة والظروف الخارجة عن الإرادة
لا تعد الجهة المشغلة مسؤولة عن أي تأخير أو تعطيل أو إخفاق في أداء التزاماتها إذا كان ناشئًا عن أحداث خارجة عن سيطرتها المعقولة، بما في ذلك الكوارث الطبيعية، والظروف الجوية الشديدة، والحوادث، والاضطرابات الأمنية، والانقطاعات العامة، والأعطال التقنية الكبرى، وقرارات الجهات المختصة، والقيود النظامية، وأي ظروف مماثلة تجعل تنفيذ الخدمة متعذرًا أو غير آمن أو غير معقول.
19. القانون الواجب التطبيق وتسوية النزاعات
تخضع هذه الشروط والأحكام وتفسر وفق القوانين والأنظمة المعمول بها في ليبيا وتسعى الأطراف أولًا إلى تسوية أي نزاع ينشأ عن استخدام التطبيق أو تفسير هذه الشروط أو تنفيذها بالطرق الودية وحسن النية قبل اللجوء إلى أي جهة قضائية أو تحكيمية أو تنظيمية مختصة.
وفي حال تعذر الحل الودي خلال مدة معقولة، يكون الفصل في النزاع للجهة المختصة وفق ما تحدده الجهة المشغلة في النسخة القانونية النهائية أو في العقود أو السياسات المكملة ذات الصلة.
20. أحكام عامة
إذا تبين أن أي بند من هذه الشروط والأحكام باطل أو غير قابل للتنفيذ أو مخالف للنظام في نطاق معين، فإن ذلك لا يؤثر على صحة أو قابلية تنفيذ باقي البنود الأخرى، وتبقى نافذة بالقدر الذي تسمح به الأنظمة المعمول بها.
كما أن عدم ممارسة الجهة المشغلة لأي حق أو سلطة أو جزاء مقرر لها بموجب هذه الشروط في واقعة معينة لا يعد تنازلًا عنها، ولا يمنعها من ممارسته لاحقًا في ذات الواقعة أو في غيرها.
وتشكل هذه الشروط والأحكام، مع أي سياسات أو تعليمات أو جداول أو نماذج أو مستندات مكملة تحيل إليها الجهة المشغلة، الاتفاق الكامل بين المستخدم والجهة المشغلة فيما يتعلق باستخدام التطبيق، وذلك إلى حين اعتماد أو إصدار أي اتفاقات خاصة مكتوبة تنظم خدمات أو علاقات محددة على نحو أكثر تفصيلًا.

للاستفسارات أو الشكاوى أو الطلبات المتعلقة بهذه الشروط والأحكام أو باستخدام التطبيق، يتم التواصل عبر القنوات الرسمية التي تعتمدها الجهة المشغلة داخل التطبيق أو عبر أي وسائل اتصال رسمية تعلنها المنصة من وقت إلى آخر.
